End-User License Agreement

Terms for authorized internal use.

This End-User License Agreement (“Agreement”) applies to Bigbie Memory Chap Sync (“Application”), an internal application operated by Bigbie HVAC LLC (“Bigbie,” “we,” “us,” or “our”). By using the Application, an authorized user agrees to this Agreement.

1. Limited license

Bigbie grants authorized personnel a limited, revocable, non-exclusive, non-transferable license to use the Application solely for Bigbie's internal business operations. No ownership interest is transferred.

2. Intended function

The Application retrieves accounting and service-history information from an authorized QuickBooks Online company and synchronizes selected records into Bigbie's private Memory Chap database. It is designed for internal record retrieval, inspection, backup, and historical search.

3. Operational limits

The Application is not intended to:

• initiate payments or transfer money;
• change banking or payment-account information;
• send invoices, emails, or customer messages;
• delete QuickBooks transactions, customers, invoices, or accounts; or
• sell financial products or provide lending, investment, tax, or legal advice.

4. Authorized access

Users must access only company data they are authorized to use, safeguard credentials and devices, and promptly report suspected unauthorized access. Users may not attempt to bypass security controls, reverse engineer the Application, or use it for another company without written authorization.

5. Third-party services

The Application depends on services provided by Intuit QuickBooks Online, Apple iCloud, and other configured technology providers. Their separate terms and availability apply. Bigbie does not control third-party services.

6. Data accuracy and review

Automated synchronization may be affected by source-data quality, service availability, or software defects. Authorized users remain responsible for reviewing records before relying on them for bookkeeping, tax, safety, warranty, or customer-service decisions. QuickBooks Online remains the authoritative accounting system unless Bigbie designates otherwise.

7. No warranty

To the maximum extent permitted by applicable law, the Application is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free results.

8. Limitation of liability

To the maximum extent permitted by applicable law, Bigbie will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Application. Nothing in this Agreement excludes liability that cannot lawfully be excluded.

9. Termination

Bigbie may suspend or terminate access at any time. Upon termination, the user must stop using the Application and return or remove company information as directed, subject to lawful retention and backup requirements.

10. Changes and contact
